Terms of Service

1. Who you are contracting with
These Terms of Service (“Terms”) are a legal agreement between you (“you,” “your,” “User”) and YOUNIQC, a sole proprietorship based in Quebec, Canada (“Youniqc,” “we,” “us,” “our”).
By creating an account or using the YOUNIQC platform at youniqc.studio (the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service
YOUNIQC is an AI-powered creative assistant platform for content creators. The Service includes:
- Studio — AI content generation workspace
- Journal — Structured creative journaling with AI prompts
- U Agent — AI creative partner with persistent brand voice
- Brand Brain — Brand voice configuration and memory
- Vault — Content library and archive
- Voice with U — Voice interaction and transcription
- Vision — AI image generation
The Service is a creative assistance tool. YOUNIQC does not publish content on your behalf. All content generated remains under your control until you choose to use it outside the platform.
3. Eligibility
You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent that you are 18 or older and have the legal capacity to enter into a binding contract.
The Service is intended for individuals and sole operators. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
4. Accounts and authentication
Access to the Service is provided via magic link authentication (a time-limited link sent to your email address). You are responsible for:
- Maintaining the security of the email account you use to log in
- All activity that occurs under your account
- Notifying us immediately at hello@youniqc.com if you believe your account has been compromised
You may not share your account or access credentials with any other person.
5. Subscriptions and billing
5.1 No free tier
The Service is available on a paid subscription basis only. There is no free tier.
5.2 Subscription tiers
We offer three subscription tiers: Spark, Flow, and Studio. Current pricing and features for each tier are displayed at youniqc.studio/pricing. We reserve the right to change pricing with 30 days’ notice to existing subscribers.
5.3 Billing
Subscriptions are billed in advance on a monthly basis via Stripe. By providing payment information, you authorise us to charge your payment method on a recurring basis.
5.4 Failed payments
If a payment fails, your account will be placed in a past_due state and access to AI generation features will be suspended until payment is resolved. You will have 7 days to update your payment method before your subscription is cancelled.
5.5 Cancellation
You may cancel your subscription at any time from the Billing section of your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused portions of a billing period.
5.6 Refunds
All sales are final. We do not offer refunds except where required by applicable law.
5.7 Quebec distance contract provisions
Under the Quebec Consumer Protection Act, if you are a Quebec consumer, you have the right to cancel a distance contract within 7 days of entering into it without penalty, provided no services have been rendered. If you have already used the Service within that period, the right of cancellation may be limited to the value of unused services. To exercise this right, contact hello@youniqc.com.
6. Sparks (usage credits)
Certain features of the Service consume Sparks, our internal usage credit system. Your monthly Spark allocation is determined by your subscription tier. Unused Sparks expire at the end of each billing period except where your tier explicitly includes rollover. Sparks have no cash value and cannot be transferred between accounts.
Top-up packs of additional Sparks may be purchased at any time from within the Service.
7. Acceptable use
7.1 You are responsible for your use
You are solely responsible for all content you input into the Service and all content generated through your account. You agree to use the Service only for lawful purposes and in accordance with these Terms.
7.2 Prohibited uses
Vendor-required prohibitions (required by our AI sub-processors):
- Generate, plan, or facilitate interference in elections, voter suppression, disinformation campaigns, or political astroturfing
- Design, develop, or provide instructions for weapons capable of mass casualties, including biological, chemical, nuclear, or radiological weapons
- Build surveillance systems, stalkerware, or tools designed to monitor individuals without their knowledge or consent
- Create, distribute, or assist in the deployment of malware, ransomware, viruses, exploits, or any malicious code
- Generate non-consensual intimate imagery (deepfakes or synthetic media depicting real individuals in sexual contexts without their consent)
- Generate child sexual abuse material (CSAM) or any sexual content involving minors
General prohibited uses:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any third party
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Use the Service to generate content intended to harass, threaten, or harm any individual
- Attempt to reverse engineer, scrape, or extract the underlying models, infrastructure, or proprietary systems of the Service
- Use automated tools to access the Service in ways that exceed normal human usage patterns
- Resell or sublicense access to the Service without our written permission
7.3 Enforcement
We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these Terms. No refund will be issued for accounts terminated for violations.
8. Your content
8.1 Ownership
You retain ownership of all content you input into the Service (“Input Content”) and all content generated by the Service based on your inputs (“Output Content”), subject to the licences granted below.
8.2 Licence you grant us
By using the Service, you grant Youniqc a limited, non-exclusive, worldwide, royalty-free licence to store, process, and transmit your Input Content solely for the purpose of providing and improving the Service. We do not use your content to train AI models without your explicit consent.
8.3 Your responsibility for output
AI-generated content may be inaccurate, incomplete, or unsuitable for your purposes. You are solely responsible for reviewing, editing, and determining the appropriateness of any Output Content before using it. We make no warranty that Output Content is accurate, original, or free from third-party intellectual property claims.
8.4 No publishing
The Service does not publish content to social media platforms or any external destination on your behalf. All publishing decisions remain entirely yours.
9. Intellectual property
The Service, including its design, software, brand assets, and all content created by Youniqc, is the property of Youniqc and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Service without our prior written consent.
“YOUNIQC,” “U,” “Brand Brain,” “Sparks,” and associated logos are trademarks of Youniqc. Nothing in these Terms grants you any right to use our trademarks.
10. Third-party services
The Service is built on and integrates with third-party services including Supabase, Anthropic, OpenAI, ElevenLabs, FAL, Replicate, and Stripe. Your use of these third-party services through YOUNIQC is subject to their respective terms of service and privacy policies. We are not responsible for the acts or omissions of these third parties.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure
- AI-generated outputs will be accurate, original, or suitable for your intended use
- The Service will meet your specific requirements
Some jurisdictions do not allow the exclusion of implied warranties. To the extent such exclusions are not permitted under applicable law, including Quebec law, those exclusions apply only to the maximum extent permitted.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUNIQC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under Quebec law or PIPEDA.
13. Indemnification
You agree to indemnify and hold harmless Youniqc and its operator from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your Input Content or Output Content
- Your violation of any applicable law or third-party rights
14. Termination
14.1 By you
You may close your account at any time from Settings → Account → Delete Account. This will trigger deletion of your personal data in accordance with our Privacy Policy.
14.2 By us
We may suspend or terminate your access to the Service at any time with or without cause. If we terminate without cause, we will refund any prepaid subscription fees on a prorated basis for the unused portion of your current billing period.
14.3 Effect of termination
Upon termination, your right to use the Service immediately ceases. Sections 8, 9, 11, 12, 13, and 16 of these Terms survive termination.
15. Changes to the Service and these Terms
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes.
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. For material changes, we will notify you by email at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from these Terms or the Service shall be resolved in the courts of Quebec. You and Youniqc both consent to the exclusive jurisdiction of the courts located in Quebec for this purpose.
17. General provisions
- Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Youniqc regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- No waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Language: These Terms are provided in English. A French version is available upon request at hello@youniqc.com.
